1. Acceptance of Terms

By accessing or using the Vayug mobile application or website, you agree to comply with and be bound by these Terms and Conditions. These terms apply to all visitors, users, creators, and advertisers. Vayug is a content hosting platform provided as a Digital Service.

Age Restriction: You must be at least 13 years old to create an account and use Vayug. If you are under 13, you are strictly prohibited from using our services.

2. Advertiser Terms

If you purchase promotional or advertising credits, you agree that:

You are responsible for the legality of all content submitted for promotion.
Ads must not contain prohibited, fraudulent, or deceptive content.
We reserve the right to pause or remove any advertisement that violates our community standards.
Advertising credits are digital assets used within the platform and are non-transferable.

3. Digital Services

Purchases of digital services (such as ad credits or premium hosting) are processed through authorized third-party gateways. You agree to provide accurate billing information. Ad credits are non-refundable once utilized. All purchases are subject to our Cancellation & Refund Policy.

4. Creator Incentive & Reward Program

Vayug offers a discretionary "Creator Incentive Program" to encourage high-quality content production. By participating, you agree to the following:

Reward Distribution: Eligible creators may receive creator rewards based on eligible advertising revenue and eligible ad impressions. The current configured split is 80% of eligible ad revenue to the creator and 20% retained by Vayug for platform maintenance and hosting.
Redemption Threshold: Creators can only request a redemption of their accumulated digital rewards once they reach a minimum threshold of ₹1,000.
Clearing Period: To prevent fraud and manage digital transaction disputes, all accumulated rewards are subject to a 15-day clearing period before they become eligible for redemption to a bank account.
Identity Verification (KYC): Before processing any reward redemption request, Vayug requires creators to complete a mandatory Know Your Customer (KYC) verification. This includes providing a valid government-issued ID (e.g., PAN Card) and bank account details matching the verified name. Failure to complete KYC will result in the inability to redeem rewards.
Calculation: Incentives are calculated based on eligible ad impressions, eligible advertising revenue, internal validation, and platform policies.
Verification Milestone: Creators must meet specific platform milestones, such as sharing Vayug with 2 friends using the refer button or uploading 2 videos, before Setup Billing may become available.
Allocation: Eligible incentives are reflected in the Reward section or creator dashboard subject to platform policies.
These are discretionary, performance-based platform incentives for utilizing our hosting services, not a formal payout system.
Program Modification: Vayug reserves the sole and absolute right to modify, suspend, or terminate the Creator Incentive Program at any time without prior notice.
Creator Data Responsibilities: As a creator, you may access subscriber email addresses through your Creator Dashboard. By using this feature, you agree to:
- Use subscriber emails only for direct, legitimate communication related to your content.
- Not sell, share, or transfer subscriber email lists to any third party.
- Provide an unsubscribe mechanism in any external communications.
- Comply with applicable data protection laws.
Violation of these terms may result in suspension of your creator account and export privileges.

5. Content Moderation & Prohibited Use (UGC Policy)

Vayug is a User-Generated Content (UGC) platform. We maintain a Strict Content Moderation Policy. By uploading content or creating ads, you agree that you will NOT post, share, or promote content that:

Contains hate speech, harassment, bullying, or discrimination.
Shows violent, graphic, or sexually explicit/adult material.
Promotes illegal acts, self-harm, weapons, or unauthorized drugs.
Infringes on the intellectual property rights (Copyright, Trademark) of any third party.
Involves spam, deceptive practices, or pyramid schemes.

Reporting and Takedown: Users can flag violating content directly within the application using the "Report" button. Our moderation team reviews reported content within 24 to 48 hours. We reserve the absolute right to remove violating content, suspend functionalities, or permanently terminate accounts without prior notice.

5.1. Copyright & DMCA Policy

We respect the intellectual property rights of others. If you believe your copyrighted work has been infringed upon, please send a detailed takedown notice to support@vayugai.com. Your notice must include a description of the copyrighted work, its location on Vayug, and a statement under penalty of perjury that you are the copyright owner or authorized to act on their behalf.

Repeat Infringer Policy: Vayug maintains a strict zero-tolerance policy for repeat copyright infringement. Users who are found to repeatedly upload copyrighted material without authorization will have their accounts permanently terminated and all associated digital credits forfeited.

6. Limitation of Liability

Vayug provides services on an "as-is" basis. We are not liable for indirect damages, loss of data, or any financial loss resulting from platform downtime or third-party gateway failures. Users are solely responsible for interactions and content generated on the application.

6.1 Third-Party Advertisements and Links

Vayug displays advertisements, promotions, and links provided by third-party advertisers and networks. By using the platform, you acknowledge and agree that:

No Endorsement: Vayug acts solely as an intermediary (a hosting platform) and does not endorse, verify, guarantee, or assume responsibility for any product, service, or claim made in these third-party advertisements.
User Responsibility: Any interactions, communications, or business transactions (including purchases) between you and the third-party advertisers are strictly between you and the advertiser.
Exclusion of Liability: Vayug shall not be held liable or responsible for any loss, damage, defective products, or disputes arising from your reliance on or purchase of any goods or services discovered through advertisements on our platform.

7. Cancellation & Refund Policy

Our cancellation and refund framework is strictly defined to manage digital advertising credits and creator rewards:

Advertising Credits: Advertisers may request a refund for unspent ad budgets if their campaign is rejected by our moderation team. Refunds are processed back to the original payment method within 5-7 business days. Ad credits already utilized for impressions/clicks are non-refundable.
Campaign Cancellation: Advertisers may pause or cancel an active ad campaign at any time via the dashboard. Remaining funds stay as a non-withdrawable advertising credit balance or can be refunded upon explicit request.
Account Termination: If an account is terminated for violating our UGC Content Policy, all accumulated rewards and digital ad credits are immediately forfeited without refund.

8. Taxes and Compliance

All users (including Advertisers and Creators) are solely responsible for determining, collecting, reporting, and remitting any applicable taxes (such as GST, VAT, or Sales Tax) arising from their transactions or earnings on the platform.

Advertisers: Prices for advertising credits or digital services may be exclusive of applicable taxes unless stated otherwise. By purchasing, you agree to pay any applicable taxes required by your local jurisdiction.
Independent Status: Creators participating in the Incentive Program operate as independent platform users and are not employees, partners, or agents of Vayug.
Income Tax: Creators are solely responsible for reporting and paying any applicable local, state, or federal income taxes on rewards redeemed from Vayug.
TDS (Tax Deducted at Source): In compliance with Indian Tax Laws, Vayug reserves the right to deduct applicable taxes (TDS) from creator reward redemptions if the requested amount exceeds the government-mandated threshold.

9. Termination

We reserve the right to suspend or terminate accounts that engage in "Credit Farming," fraudulent views, or breach of these terms. Any accumulated digital platform credits and incentives in a terminated account will be forfeited immediately.

10. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
